Terms of Service

These terms govern your use of the Atlas accounting platform ("Atlas", "the Service") operated at getatlasonline.com. By creating an account or using the Service you agree to them. If you are accepting on behalf of a business, you represent that you have authority to bind that business.

1. The Service

Atlas is cloud accounting software: a double-entry general ledger with invoicing, bills, banking, check printing, payroll calculation, reporting, and optional AI-assistant connections. We may improve or change features over time; we will not materially reduce core functionality you rely on without notice.

2. Your account

You are responsible for the accuracy of the information you enter, for maintaining the confidentiality of your credentials, and for activity under your account. Two-factor authentication is required. You must be at least 18 and using Atlas for business purposes.

3. Your data

You own your data. We claim no rights over your books beyond what is needed to operate the Service, as described in our Privacy Policy. You can export your data at any time. You are responsible for having the right to enter the data you enter — including your employees' payroll information.

4. Not professional advice

Atlas performs calculations — including federal and state payroll withholding and tax worksheets — from published government formulas, and we test them against official examples. However, Atlas is software, not a CPA, tax advisor, or attorney. Outputs are not tax, legal, or accounting advice. You (and your accountant) remain responsible for reviewing results, and for filing and depositing all taxes on time. Payroll worksheets (e.g. Forms 941/940) are preparation aids, not filings.

5. AI connections

If you connect an AI assistant via an API key: the assistant acts under the scopes you grant; AI-drafted documents are drafts and have no financial effect until a person reviews and posts them; and you are responsible for reviewing drafts before posting. Your use of a third-party AI assistant is governed by that provider's terms.

6. Bank connections

Bank feeds are provided through Plaid. By connecting an account you authorize us to retrieve your transaction data through Plaid and you agree to Plaid's End User Services Agreement.

7. Acceptable use

Don't misuse the Service: no unlawful use, no attempting to breach security or access other tenants' data, no reselling the Service without an agreement, no interfering with its operation. We may suspend accounts that put the Service or other customers at risk, with notice where practicable.

8. Fees

Pricing is agreed with you directly during onboarding. Fees, billing cadence, and any trial terms are as stated in your order or onboarding agreement.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. We perform regular backups and maintain security controls, but you should retain your own exports of critical records.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, and our total liability arising out of the Service is limited to the fees you paid us in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.

12. Termination

You may stop using Atlas and close your account at any time; we will make your data available for export for at least 30 days after closure. We may terminate for material breach that remains uncured 30 days after notice.

13. Changes to these terms

If we make material changes, we will update the date above and notify account owners before the changes take effect. Continued use after the effective date constitutes acceptance.

14. Governing law

These terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located there.
